Terms of Service

1. Acceptance of Terms

By accessing or using the GTM Growth System platform ("Service"), operated by GTM Growth System, Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service and General Conditions of Sale ("Terms"). If you do not agree, you must not use our Service.

These Terms constitute a binding agreement between you and GTM Growth System, Inc., a Delaware C Corporation, with its principal office at 150 Van Ness Avenue, San Francisco, CA 94102, United States.

2. Description of Service

GTM Growth System provides an AI-powered go-to-market automation platform that includes:

• Ideal Customer Profile (ICP) definition and lead scoring
• Contact enrichment and data quality management
• Multi-channel outreach sequences (LinkedIn and email)
• AI-powered buying signal detection and intelligence
• LinkedIn automation and connection management
• Campaign analytics and optimization tools
• Free public tools (ICP Builder, Lead Scorer, etc.)

3. Account Registration and Responsibilities

To use the Service, you must create an account or be invited to a workspace. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your use complies with applicable laws and regulations, including CAN-SPAM, GDPR, and LinkedIn's Terms of Service
• Obtaining necessary consents for outreach activities

4. Subscription Plans and Pricing

The Service is offered through subscription plans. Details of current plans, pricing, and included features are available at gtmgrowthsystem.com/pricing.

Subscription fees are billed in advance on a monthly or annual basis. All prices are in US Dollars (USD) unless otherwise specified. Prices are exclusive of applicable taxes, which will be added at checkout where required.

5. Free Trial

We may offer free trial periods at our discretion. Trial duration (3, 7, or 14 days) is determined at the time of invitation. During the trial, access to certain features may be limited. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Trial workspaces are subject to usage limits on contacts, enrichments, messages, connections, and sequences. These limits are set at invitation time and cannot be modified during the trial.

6. Payment Terms

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings.

All fees are non-refundable except as required by applicable law. If you cancel during a billing period, your access continues until the end of that period. No prorated refunds are provided for partial periods.

7. Acceptable Use

You agree not to:

• Use the Service for spam, unsolicited bulk messaging, or communications that violate anti-spam laws
• Violate any applicable laws, regulations, or third-party rights
• Attempt to circumvent rate limits, security measures, or platform restrictions
• Use the Service to scrape, harvest, or collect personal data beyond what is permitted by law
• Resell, sublicense, or redistribute access to the Service without authorization
• Use the Service in any manner that could damage, disable, or impair our systems

8. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR where applicable.

By using the Service, you acknowledge that contact data processed through the platform may include publicly available professional information from LinkedIn and other professional networks.

9. Intellectual Property

The Service, including all software, algorithms, designs, content, and documentation, is the exclusive property of GTM Growth System, Inc. and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

You retain ownership of all data you upload or create within the Service. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

10. Service Level and Availability

We strive to maintain 99.9% uptime for our services. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party services (LinkedIn, email providers, etc.), force majeure events, or your own systems.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTM GROWTH SYSTEM, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days in advance. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
